Item 1.01 Entry into a Material Definitive Agreement
On October 31, 2006, the Board of Directors (the “Board”) of Willow Financial Bancorp, Inc. (the “Company”), upon recommendation of the Compensation Committee of the Board, took action with respect to fee arrangements for certain directors of the Company. The Board approved an increase in the fees paid to the Chairperson of each committee to $1,000 per meeting attended from the previous fees of $600 or $750 per meeting. All other committee and Board fees remained unchanged.
