Part III -- Narrative
State below in reasonable detail the reasons why the Form 10-K and Form 10-KSB, 11-K, 20-F, 10-Q, Form 10-QSB, N-SAR, N-CSR or the transition report or portion thereof could not be filed within the prescribed time period.
On November 16, 2006 Olympus Pacific Minerals Inc. (the “Registrant”) filed a Registration Statement on Form 20-F (“Registration Statement”) with the Securities and Exchange Commission (“SEC”). The Registration Statement became effective 60 days later, requiring Registrant, beginning on January 15, 2007, to file periodic reports with the SEC pursuant to Section 13 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”). In December 2006 and May 2007 the SEC issued to Registrant comments on the Registration Statement. Registrant is currently devoting its resources towards preparing Amendment No. 2 to the Registration Statement in response to the SEC’s comments. Accordingly, it has been unable to devote the resources necessary to prepare its Annual Report on Form 20-F for the year ended December 31, 2006.
