Item 8.01 Other Events.
On September 5, 2019, Newmont Goldcorp Corporation (formerly known as Newmont Mining Corporation), a Delaware corporation (the “Company”), issued a news release announcing the pricing of its previously announced public offering of 2.800% senior notes due 2029 in the principal amount of $700 million.
A copy of the news release is attached as Exhibit 99.1 to this report and is incorporated herein by reference.
This Form 8-K shall be deemed to be incorporated by reference into the Prospectus Supplement (the “Prospectus Supplement”) expected to be filed with the Securities and Exchange Commission on September 6, 2019, forming part of the Company’s Registration Statement (the “Shelf Registration Statement”) on Form S-3ASR (No. 333- 227483) and part of such prospectus (the “Base Prospectus”) from the date of the filing thereof.
