On March 20, 2017, EnPro Industries, Inc. issued a press release announcing its intention to commence an offering of an additional $150 million aggregate principal amount of its 5.875% Senior Notes due 2022 to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and tonon-U.S. persons in offshore transactions in reliance on Regulation S under the Securities Act. A copy of such press release is filed as Exhibit 99.1 hereto and is incorporated herein by reference.
