Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
Effective August 11, 2006, Anil Sahai resigned from his positions as Executive Vice President and Chief Technology Officer of Procera Networks, Inc. (the "Company"). Confirmation of such resignation was sent by Douglas Glader, the Company's Chief Executive Officer and President, via a letter addressed to Mr. Sahai.
