Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On October 16, 2008, Thomas H. Williams provided notice that he will not stand for reelection to the Board of Directors of Procera Networks, Inc., or Procera, at its 2008 Annual Meeting of Stockholders and will be retiring from Procera’s Board of Directors. Mr. Williams’ resignation is not the result of any disagreement with Procera on any matter relating to Procera’s operations, policies or practices.
