| (1)Steven Bruk is the legal and beneficial owner of 150,468 shares. Mr. Bruk’s spouse, Karen Bruk, is the legal owner of 146,000 shares. Karen Bruk is also the sole shareholder of KMB Trac Two Holdings Ltd. KMB Trac Two Holdings Ltd. is the legal owner of 2,000,000 shares. KMB Trac Two Holdings Ltd. also holds convertible debentures which may be converted into a total of 974,050 shares of common stock of the Issuer within sixty days pursuant to Rule 13d-3 of the Act. Steven Bruk exercises investment power over the shares of common stock held by Karen Bruk and KMB Trac Two Holdings Ltd. and will exercise investment power over the shares of common stock issuable upon conversion of the convertible debentures. |

Steven Bruk exercises investment power over the shares of common stock held by Karen Bruk and KMB Trac Two Holdings Ltd. and will exercise investment power over the shares of common stock issuable upon conversion of the convertible debentures. |

This Schedule 13D is being filed on behalf of Steven Bruk, Karen Bruk and KMB Trac Two Holdings Ltd. (“Holdco) (collectively, the “Reporting Persons”) relating to the shares of common stock of Counterpath Corporation, a corporation existing under the laws of the State of Nevada (the “Issuer”).
Item 1. Security And Issuer
This Statement relates to the shares of common stock (the “Shares”) of the Issuer. The principal executive offices of the Issuer are located at Suite 300, One Bentall Centre, 505 Burrard St, Vancouver, BC V7X 1M3.
Item 2. Identity And Background
This statement is filed by the Reporting Persons.
Steven Bruk is a Canadian citizen, resides at 3790 Southridge Avenue, West Vancouver, British Columbia, Canada V7V 3J1 and he has no principal occupation.
Karen Bruk is the sole shareholder of Holdco, a holding company with a mailing address at 900 – 200 Burrard Street, Vancouver, British Columbia, Canada V7X 1T2. Holdco is organized under the laws of the Province of British Columbia.
Karen Bruk is the President and sole director of Holdco, the only executive officer and director of Holdco. Mrs. Bruk is a Canadian citizen, resides at 3790 Southridge Avenue, West Vancouver, British Columbia, Canada V7V 3J1 and she has no principal occupation.
None of Steven Bruk, Karen Bruk or Holdco nor, to Holdco’s knowledge, its sole director and officer has, during the last five years, been convicted in a criminal proceeding (excluding traffic violations or similar misdemeanors).
None of Steven Bruk, Karen Bruk or Holdco nor, to Holdco’s knowledge, its sole director and officer has, during the last five years, been a party to a civil proceeding of a judicial or administrative body of competent jurisdiction and as a result of such proceeding was or is subject to a judgment, decree or final order enjoining future violations of, or prohibiting or mandating activities subject to, federal or state securities laws or finding any violation with respect to such laws.
Item 3. Source and Amount of Funds or Other Consideration
On September 2, 2009, Steven Bruk sold 500,000 shares of common stock of the Issuer for gross proceeds of $375,000.
On July 27, 2010, Steven Bruk sold 200,000 shares of common stock of the Issuer for gross proceeds of $220,000.
On July 30, 2010, the Issuer completed a private placement with Holdco whereby the Issuer issued $483,300 of convertible debentures to Holdco. The debentures may be converted at any time, prior to maturity on July 30, 2012, into Shares at a conversion price of $1.00 per Share subject to certain conditions. The convertible debentures are unsecured obligations of the Issuer and carry an interest rate equal to the Prime Bank Rate as quoted by the Bank of Montreal, payable monthly.
On October 29, 2010, the Issuer completed a private placement with Holdco whereby the Issuer issued $490,750 of convertible debentures to Holdco. The debentures may be converted at any time, prior to maturity on July 30, 2012, into Shares at a conversion price of $1.00 per Share subject to certain conditions. The convertible debentures are unsecured obligations of the Issuer and carry an interest rate equal to the Prime Bank Rate as quoted by the Bank of Montreal, payable monthly.
Holdco used working capital funds to make the investment disclosed above.
Item 4. Purpose of Transaction
Upon conversion of the convertible debentures, Steven Bruk, Karen Bruk and Holdco will have acquired the Shares of the Issuer for investment purposes. In that connection, Steven Bruk, Karen Bruk and Holdco may have their representatives meet with management, directors or other shareholders of the Issuer from time to time to discuss the affairs of the Issuer. Steven Bruk, Karen Bruk and Holdco intend to monitor the business and affairs of the Issuer, including its financial performance, and depending upon these factors, market conditions and other factors, Steven Bruk, Karen Bruk and Holdco may acquire additional securities of the Issuer as they deem appropriate. Alternatively, Steven Bruk, Karen Bruk and Holdco may dispose of some or all of the Shares in privately negotiated t ransactions or otherwise.
At this time and other than as described in Item 5 of this Schedule 13D, none of Steven Bruk, Karen Bruk and Holdco nor, to Holdco’s knowledge, its sole director and officer, has the intention of acquiring additional Shares of the Issuer, although each of them reserves the right to make additional purchases on the open market, in private transactions and from treasury. None of Steven Bruk, Karen Bruk and Holdco nor, to Holdco’s knowledge, its sole director and officer, has any plans or proposals which relate to or would result in:
| (a) | the acquisition by any person of additional securities of the Issuer, or the disposition of securities of the Issuer; |
| (b) | an extraordinary corporate transaction, such as a merger, reorganization of liquidation, involving the Issuer or any of its subsidiaries; |
| (c) | a sale of transfer of a material amount of assets of the Issuer or any of its subsidiaries; |
| (d) | any change in the present board of directors or management of the Issuer, including any plans or proposals to change the number or term of directors or to fill any existing vacancies on the board; |
| (e) | any material change in the present capitalization or dividend policy of the Issuer; |
| (f) | any other material change in the Issuer’s business or corporate structure; |
| (g) | changes in the Issuer’s charter, bylaws or instruments corresponding thereto or other actions which may impede the acquisition of control of the Issuer by any person; |
| (h) | causing a class of securities of the Issuer to be delisted from a national securities exchange or to cease to be authorized to be quoted in an inter-dealer quotation system of a registered national securities association; |
| (i) | a class of equity securities of the Issuer becoming eligible for termination of registration pursuant to Section 12(g)(4) of the Act; or |
| (j) | any action similar to any of those enumerated above. |
Item 5. Interest in Securities of the Issuer
Steven Bruk has the sole power to direct the vote of, and accordingly has beneficial ownership of, 3,270,518 Shares which are registered in his, Karen Bruk’s and Holdco’s name, including the 974,050 shares issuable to Holdco upon conversion of the convertible debentures, representing approximately 9.58% of the Issuer’s Shares.
Karen Bruk has shared power to vote and shared power to dispose or to direct the disposition of 3,120,050 Shares, which includes 974,050 shares issuable to Holdco upon conversion of the convertible debentures, representing approximately 9.14% of the Issuer’s Shares. Karen Bruk does not have the sole power to vote or direct the vote and does not have sole power to dispose or to direct the disposition of any Shares.
Holdco has shared power to vote and shared power to dispose or to direct the disposition of 2,974,050 Shares, which includes 974,050 shares issuable to Holdco upon conversion of the convertible debentures, representing approximately 8.72% of the Issuer’s Shares. Holdco does not have the sole power to vote or direct the vote and does not have sole power to dispose or to direct the disposition of any Shares.
None of Steven Bruk, Karen Bruk, Holdco or, to the knowledge of Holdco, its sole director and officer, effected any transactions in such Shares during the past 60 days other than as disclosed in this Schedule 13D.

Pursuant to Rule 13d-1(k) promulgated under the Act, the Reporting Persons have entered into an agreement, attached hereto as Exhibit 1, with respect to the joint filing of this statement, and any amendment or amendments hereto.
There are no contracts, arrangements, understandings, or relationships between the Reporting Persons and any other person with respect to any securities of the Issuer other than as disclosed in this Schedule 13D.
