Item 1.01 Entry into a Material Definitive Agreement
On December 22, 2006, Pinnacle Airlines Corp. filed a Form 8-K announcing, among other things, that it had entered into an Assumption and Claim Resolution Agreement (the “Agreement”) with Northwest Airlines, Inc. A copy of the Agreement is being filed as Exhibit 10.40 hereto.
