Item 1.01. Entry into a Material Definitive Agreement
On March 3, 2006, Cartwright, LLC ("Cartwright") exercised its option to purchase the real property located in Irvine, California that is leased by the Reigstrant for use as its principal executive offices. Cartwright is owned by the Registrant's Chief Executive Officer, Chief Operating Officer, Chairman of the Board and a party unrelated to the Registrant. Except for the Registrant's waiver of its right of first refusal to purchase the real estate, the lease agreement was not amended or modified as a result of Cartwright's purchase of the real estate.
