Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
Item 5.02(b). On March 5, 2007, Michael H. Schoeffler's employment with the Registrant was terminated effective immediately. Mr. Schoeffler was serving as the Registrant's Executive Vice President - Mergers and Acquisitions.Item 5.02(e). In conjuction with Mr. Schoeffler's termination of employment, the Employment Agreement, dated March 3, 2005, between the Registrant and Mr. Schoeffler was also terminated, except for those provisions that expressly survive termination. The Registrant has filed a demand for arbitration for determination of the parties' post-termination rights and obligations under the terminated Employment Agreement.
