In a Current Report on Form 8-K filed by the Registrant on October 31, 2011 (the "Original Filing"), the Registrant disclosed that at the Registrant's annual meeting of stockholders held on October 27, 2011, the Registrant's stockholders approved the Quantum Fuel Systems Technologies Worldwide, Inc. 2011 Stock Incentive Plan (the "2011 Stock Plan").This Current Report on Form 8-K/A is being filed as an amendment to the Original Filing for the sole purpose of filing the form of Stock Option Award Agreement and form of Restricted Stock Award Agreement that will be used by the Registrant when stock option and restricted stock awards are made under the 2011 Stock Plan.
