Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(a)(1) On January 6, 2015, Eric Singer submitted his resignation as a director of Meru Networks, Inc. (the “Company”). Mr. Singer had served on the Compensation Committee of the Board of Directors (the “Board”). Mr. Singer is resigning from the Board as a result of the Company’s announcement that it had retained an investment banker and to allow for the rest of the Board to fully explore strategic alternatives. Mr. Singer also reserved his right to seek substantial change at the Board should the Company remain independent.
