Represents an award of restricted stock to Mr. Albi as a non-management director effective July 1, 2020 that shall vest on the earlier to occur of (i) the termination of the service as a director other than because of removal or (ii) May 1, 2021, as reported by Registrant on Current Report on Form 8-K/A filed on July 2, 2020.

2. Includes 51,306 shares of time-based restricted stock and 86,222 shares of performance-based restricted stock that will vest on July 9, 2020 pursuant to the Succession Agreement dated July 1, 2020 as reported by Registrant on Current Report on Form 8-K/A filed on July 2, 2020 if Mr. Albi does not revoke the general release contained in the Succession Agreement on or before that date.
