| (1) On March 6, 2017, the reporting person mistakenly filed a Form 4 reporting the acquisition by Velocitas Partners LLC, ("Velocitas"), of which the reporting person is a manager, of a $500,000 Secured Convertible Promissory Note (the "Convertible Note"). The Convertible Note should not have been reported as being beneficially owned by the reporting person. Velocitas is managed by a three person Board of Managers, and voting, acquisition and disposition decisions require the approval of a majority of the mangers. Because the reporting person is only one of three managers, the reporting person does not individually have voting or dispositive power with respect to the Convertible Note and/or the underlying shares. |
