Explanation of Responses:

1. The 20,000 shares of the Issuer's Common Stock reported as beneficially owned are directly owned by Centric Capital Ventures LLC ("Centric Capital"). The Reporting Persons may be deemed to be members of a Section 13(d) "group" that is the beneficial owner of more than 10% of the Issuer's Common Stock, as described in the Schedule 13D filed by the Reporting Persons with the Securities and Exchange Commission on April 2, 2015.

2. As the Managing Member of Centric Capital, Bradley J. Sacks would be deemed to indirectly beneficially own the shares of the Issuer's Common Stock directly owned by Centric Capital.
