Explanation of Responses:

1. Centric Capital Ventures LLC ("Centric Capital") is a party to a put and call agreement dated as of July 29, 2015 under which Centric Capital acquired a call option on the shares of the Issuer's common stock beneficially owned by Michael I. Sacks ("M Sacks") and granted M Sacks a put option with respect to his shares of the Issuer's common stock. M Sacks beneficially owns 2,000,000 shares of the Issuer's common stock.

2. As the managing member of Centric Capital, the reporting person is deemed to beneficially own the securities directly owned by Centric Capital.
