Explanation of Responses:

1. Between the periods of 6/1/20 and 7/24/20, Mr. Smith gifted 42,000 shares of common stock to various persons and entities.

2. Between the periods of 6/1/20 and 7/24/20 Lotaylingkyur LLC which is owned by Mr. Smith and his wife gifted 34,000 shares of common stock to various persons and entities.

3. On July 24, 2020, Mr. Smith converted his expenses payable of $20,364.34, accrued interest of $1,960.97 and deferred compensation of $36,000 into 116,651 units (at current PPM price) of $.50 per unit consisting of one share of Bion common stock and one warrant. Each of these warrants carry an exercise bonus of 75 percent.
