Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in FiscalYear.
On August 23, 2010, Zaldiva, Inc., a Florida corporation (the “Company”), filed with the Florida Department of State Articles of Amendment amending the Company’s Articles of Incorporation to increase its authorized common stock from 50,000,000 shares to 2,000,000,000 shares, while retaining the par value of such common stock at $0.001 per share. The increase in the authorized common stock became effective upon filing of the Articles of Amendment.
