Item 1.01 Entry into a Material Agreement.
Effective as of January 30, 2014, FONU2 Inc., a Nevada corporation (the “Company”), entered into an Agreement (the “Agreement”) with Maximum Performance Advisors, Inc. (“MPAI”), under which MPAI agreed to render client public relations, communications, advisory and consulting services to the Company for a period of six months, subject to earlier termination by either party upon 30 days’ written notice. In consideration of such services, the Company agreed to issue to MPAI 500,000 “unregistered” and “restricted” shares of the Company’s common stock upon execution of the Agreement, and an additional 700,000 “unregistered” and “restricted” shares at the beginning of the fourth month thereafter.
