Explanation of Responses:

1. The reported price is a weighted average price. These shares were purchased in multiple transactions at prices ranging from $11.08 to $11.10 per share, inclusive, the Reporting Person undertakes to provide to the issuer, any security holder of the issuer, or to the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares purchased at each separate price within the range set forth herein.

2. Amount reported includes 160,320 shares transferred into Wolff Family Trust previously reported as directly held

3. Amount includes 3,226 shares of the Issuer's common stock acquired pursuant to the Issuer's dividend revinvestment plan.

4. Represents grant of performance-based restricted stock units. Shares will be issued upon achievement of both (a) Issuer's common stock achieving a twenty-day Volume-Weighted Average Price of $35 per share within four years from the date of grant and (b) the Reporting Persons' continued service through the fourth anniversary of the grant.
