Explanation of Responses:

1. Represents restricted stock units ("RSUs") issued to the Reporting Person as consideration for service on the Issuer's Board of Directors from November 30, 2023, the completion of the merger of the Issuer with PacWest Bancorp, until the Issuer's 2024 Annual Stockholder Meeting. Shares will be issued in full upon vesting, which is scheduled to occur May 9, 2024.

2. Amount reported includes 3,988 shares transferred into the Mary Allis Curran Trust previously reported as directly held.

3. Amount reported includes 656 shares of the Issuer's common stock acquired pursuant to a broker-administered dividend reinstatement plan.

4. Amount reported includes 86 shares of the Issuer's common stock acquired pursuant to a broker-administered dividend reinstatement plan.
