On July 6, 2020, CarMax, Inc. (the “Company”) issued a news release recommending that the Company’s shareholders not tender their shares of the Company’s common stock in response to the unsolicited “mini-tender” offer by TRC Capital Investment Corporation to purchase up to 1,500,000 shares of the Company’s common stock. A copy of the news release is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference herein.
