2. This transaction was executed in multiple trades at prices ranging from $8.10 to $8.18. The price reported above reflects the weighted average sale price. The reporting person hereby undertakes to provide upon request to the SEC staff, the issuer or a security holder of the Issuer full information regarding the number of shares and prices at which the transaction was effected.

3. 515,175 stock options to purchase Common Shares of the Company were granted to Mr. McBee on January 19, 2011. 32,198 options vested on April 19, 2011 and vested in approximately equal installments every three months thereafter until January 19, 2015.
