Explanation of Responses:

1. Represents 30,000 Common Shares underlying 30,000 Restricted Stock Units ("RSUs") granted to Mr. Agnes on March 4, 2016. These RSUs will vest as follows: (i) 7,500 of the RSUs will vest on March 4, 2017; (ii) 7,500 of the RSUs will vest on March 4, 2018; (iii) 7,500 of the RSUs will vest on March 4, 2019; and (iv) 7,500 of the RSUs will vest on March 4, 2020.

2. Represents 35,000 Common Shares underlying 35,000 RSUs granted on March 1, 2017. These RSUs vest in four equal installments annually starting March 1, 2018.
