Item 5.02(b)
On September 2, 2010, Mr. Don Smith announced that he will retire as chief executive officer of Mitel Networks Corporation (“Mitel”). A search committee has been formed by the board of directors of Mitel to indentify a successor and Mr. Smith will continue to serve as Mitel’s chief executive officer until his successor is found. Mr. Smith will continue to serve as director of Mitel after his retirement. The terms of Mr. Smith’s retirement as chief executive officer are being finalized.
