EXPLANATORY NOTE
This Amendment No. 1 to the Current Report on Form 8-K for Mitel Networks Corporation (“Mitel”) originally filed on February 5, 2014 (the “Original Filing”) is being filed solely for the purpose of replacing Exhibit 10.4 to the Original Filing in its entirety. The Certificate of Amalgamation that was originally issued by Industry Canada and filed as Exhibit 10.4 to the Original Filing contained an incorrect version of the Articles of Amalgamation of Mitel that had been filed with Industry Canada in error. Industry Canada has reissued a new Certificate of Amalgamation containing the correct version of the Articles of Amalgamation, which is now being filed as Exhibit 10.4 to this Amendment No. 1.
