Item 7.01. Regulation FD Disclosure.
On January 9, 2006, the U.S. Justice Department filed notice that it has declined to intervene in a newqui tam action in which Medco Health Solutions, Inc. (the “Company”) is named as a defendant. The Company became aware of the newqui tam action on December 12, 2005 after the United States District Court for the Eastern District of Pennsylvania granted in part and denied in part a motion by an Assistant United States Attorney in the Eastern District of Pennsylvania to extend the seal and the evaluation period on the newqui tam action. While the District Court granted the motion to extend the evaluation period, it denied the request that the complaint remain under seal.
