Section 1 - Registrant’s Business and Operations
Item 1.01 Entry into a Material Definitive Agreement
On August 8, 2007, Peter F. Ullrich and Water Science LLC (“WS”), shareholders of EAU Technologies, Inc. (the “Company”), advanced $500,000 to the Company as a short-term loan. The parties expect that the advance will be applied toward the exercise price for the Warrants held by WS. The Warrants were issued as part of the $4.2 million financing transaction announced in the Company’ Form 8-K filed on May 15, 2007.
