Item 8.01. Other Events.
Natural Resource Partners L.P. in its Form 10-K for the year ended December 31, 2005 and filed on February 27, 2006, inadvertently stated an incorrect section of the New York Stock Exchange’s listing standards regarding its independent directors. On page 66 of the Form 10-K, under Independence of Directors, it should state that The Board of Directors has determined that Messrs. Blakely, Carmichael, Karn and Smith are independent under the standards set forth in Section 303A.02(a) of the New York Stock Exchange’s listing standards and under Item 7(d)(3)(iv) of Schedule 14A under the Securities Exchange Act of 1934.
