On October 16, 2020, CIT Group Inc. (“CIT”), the parent company of CIT Bank, N.A., and First Citizens BancShares, Inc. (“BancShares”), the parent company of First-Citizens Bank & Trust Company, issued a joint press release announcing the execution of a definitive agreement (the “Merger Agreement”) under which the companies will combine in an all-stock merger of equals.
