Explanation of Responses:

1. On February 25, 2015, Mr. Cashin transferred 729,157 shares of Titan to the Richard M. Cashin Jr. 2015 Titan GRAT trust for estate planning purposes.

2. Mr. Cashin's previous Form 4 filings incorrectly reported 50,636 shares of common stock being beneficially owned directly which are not beneficially owned by him. This Form 4 reflects Mr. Cashin's correct direct ownership.
