RESPONSE: The Company’s registration statement on Form S-3 (Registration No. 333-179970) is a shelf registration statement (the “Shelf Registration Statement”) that allows for the issuance of a variety of securities including Class A common stock, preferred stock, warrants to purchase Class A common stock or preferred stock, or any combination thereof, to be specified in a supplement to the registration statement at the time of sale. No specific number of shares of Class A common stock, preferred stock or warrants exercisable for either Class A common stock to preferred stock that may be issued under the Shelf Registration Statement is determinable at this time. However, the Company has added the following sentence to the cover page and page 1 in Amendment No. 1 reflecting the potential issuances: “In addition, the Company currently has an effective Registration Statement on Form S-3 relating to the future issuance and sale of its Class A Common stock, preferred stock, warrants to purchase Class A common stock or preferred stock, or any combination thereof, pursuant to which up to $20,000,000 of securities remain available for sale.” | ||
