On October 27, 2008, Ecology Coatings, Inc. (the “Company”) entered into the First Amendment To Securities Purchase Agreement with Equity 11, Ltd. which amends Section 2.2(1) of the Securities Purchase Agreement between these parties as follows:

The execution of the Securities Purchase Agreement and Equity 11’s additional investment were reported in the Company’s Form 8-Ks filed with the Securities and Exchange Commission on August 29, 2008 and September 30, 2008 respectively.
