Explanation of Responses:

1. The number of shares beneficially owned was reduced to 6,500 shares. On July 30, 2015 the board and all individual directors, including Mr. Silver, mutually agreed to reduce the number of RSUs that were previously granted by the board from 13,000 shares to 6,500 shares without consideration.

2. The stock option becomes exercisable as to 25% of the underlying shares on the first year anniversary of the grant date and 25% each year thereafter.
