Explanation of Responses:

1. Restrictions lapse as to 26,647 shares on each of 8/13/23 and 8/13/24 and as to 26,646 shares on 8/13/25.

2. Subject to performance-based forfeiture of 119,910 shares based on the Company's three-year total shareholder return for fiscal years 2023, 2024 and 2025 versus the Company's peer group, and for 119,909 shares based on the Company's average annual revenue growth in fiscal years 2023, 2024 and 2025.

3. Each restricted stock unit represents the right to receive a payment from the Company equal in value to the market price per share of the Company's common stock on the date of payment and shall be payable in cash or shares of Company common stock beginning six months following the termination of the reporting person's board membership.
