INTRODUCTION
This Amendment No. 1 to Rule 13e-3 Transaction Statement on Schedule 13E-3 (the “Statement”) filed by each of Viatel Holding (Bermuda) Limited (referred to herein as “Company” or “subject company” or “filing person”) and VTL, Inc. (referred to herein as “VTL” or “filing person”) with the Securities and Exchange Commission (the “Commission”) is accompanied by a Preliminary Notice of Special General Meeting in Connection with Proposed Share Consolidation (the “SGM Notice”) to be distributed to holders of common shares of the Company, par value $0.01 per share (“Common Shares”), in connection with a Special General Meeting of the shareholders of the Company anticipated to be held in February 2008. The SGM Notice is in preliminary form and is subject to completion or amendment.
At such meeting, the shareholders of the Company will vote upon special resolutions, which, if adopted, will result in a l-for-300 share consolidation of the Company’s Common Shares and the payment of cash for fractional shares to those shareholders who would, as a result of the share consolidation, hold less than one share of the Company’s post-share consolidation common shares. Holders of Common Shares will receive one new Common Share, par value $3.00 per share (“New Common Shares”), for each three hundred existing Common Shares. Shareholders who would otherwise hold less than one New Common Share will receive cash instead of such fractional interest.
