In connection with the July 9, 2008 one-for-five reverse split of the common stock, par value $0.001, of Electro Energy, Inc. (the “Company”), the Company filed a Certificate of Amendment to its Amended and Restated Articles of Incorporation with the Secretary of State of Florida reducing the authorized number of outstanding shares of its common stock from 250 million to 50 million. The effective date of the amendment was July 9, 2008. The reverse stock split reduced the number of the Company’s outstanding shares of common stock from approximately 30.7 million to approximately 6.1 million. The par value of the common stock remained unchanged at $0.001 and fractional shares resulting from the reverse stock split were rounded up to the next whole share.
