Explanation of Responses:

1. Acquired pursuant to the Agreement and Plan of Merger, dated October 29, 2017 (the "Merger Agreement"), pursuant to which Dynegy Inc. ("Dynegy") merged with and into Vistra Energy Corp. (the "Issuer") (the "Merger").

2. Pursuant to the Merger Agreement, each outstanding share of Dynegy common stock held immediately prior to the effective time of the Merger (other than certain excluded shares) converted into 0.652 shares of Issuer common stock.

3. Pursuant to the Merger Agreement, each Dynegy restricted stock unit outstanding immediately prior to the effective time of the Merger converted into an award of restricted stock units with respect to Issuer common stock (with the number of shares appropriately adjusted based on the exchange ratio of 0.652 shares of Issuer common stock for each share of Dynegy common stock). These restricted stock units vest in full on May 18, 2018.
