1. Each Restricted Stock Unit represents a contingent right to receive one share of Simmons First National Corporation common stock.

2. The Restricted Stock Units vest immediately upon acceptance of the grant by Mrs. Lanigan.

3. 78 shares of the Restricted Stock Units vest immediately upon acceptance of the grant by Mrs. Lanigan, and 79 shares of the Restricted Stock Units vest on October 1, 2017. SFNC shares will be delivered within 30 days of vesting.
