Item 1.01. Entry into A Material Definitive Agreement.
On November 8, 2007, Cardica, Inc. (the “Company”) entered into an underwriting agreement with William Blair & Company, L.L.C., as representative for the several underwriters named therein (the “Underwriters”), and Guidant Investment Corporation (the “Underwriting Agreement”). The Underwriting Agreement provides for the sale by the Company to the Underwriters of 1,500,000 shares of common stock of the Company and grants the Underwriters an option, exercisable for 30 days, to purchase up to an additional 611,969 shares of common stock from the Company to cover over-allotments, if any (collectively, the “Company Shares”), and provides for the sale by Guidant Investment Corporation (the “Selling Stockholder”) to the Underwriters of 2,579,795 shares of common stock of the Company (the “Selling Stockholder Shares,” and collectively with the Company Shares, the “Shares”). The Underwriters have agreed to purchase the Shares pursuant to the Underwriting Agreement at a price of $8.00 per share. The price to the public is $8.50 per share. The offering is being made pursuant to the Company’s effective shelf registration statement on Form S-3 (Registration No. 333-146708) previously filed with the Securities and Exchange Commission (the “SEC”), including a related prospectus dated October 19, 2007, as supplemented by a Preliminary Prospectus Supplement dated October 29, 2007 and a Prospectus Supplement dated November 8, 2007, which the Company filed with the SEC pursuant to Rule 424(b)(5) under the Securities Act of 1933, as amended. The Underwriting Agreement is filed as Exhibit 1.1 to this report, and the description of the material terms of the underwriting agreement is qualified in its entirety by reference to such exhibit.
The opinion of counsel regarding the validity of the common stock to be issued by the Company and of the common stock to be sold by the Selling Stockholder pursuant to the offering described in the foregoing paragraph is filed as Exhibit 5.1 hereto.
