Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On October 16, 2018, a majority of the independent directors of the board of directors of Paratek Pharmaceuticals, Inc. approved an amendment to the Paratek Pharmaceuticals, Inc. 2017 Inducement Plan (the “2017 Inducement Plan”), increasing the aggregate number of shares of common stock that may be issued pursuant to awards under the 2017 Inducement Plan from 550,000 shares to 1,050,000 shares (the “Share Reserve”). The amendment was approved without stockholder approval pursuant to Nasdaq Listing Rule 5635(c)(4). Other than the increase in the Share Reserve, the terms and conditions of the 2017 Inducement Plan were not changed.
