On March 2, 2004, the Company filed Amendment No. 2 to its Registration Statement on Form S-1 (Registration No. 333-112258) on behalf of certain selling shareholders of the Company’s ordinary shares relating to the sale of up to 9,200,000 ordinary shares. Amendment No. 2 to the Registration Statement on Form S-1 is attached hereto as Exhibit 99.1, is incorporated herein by reference and contains information that has not previously been filed by the Company pursuant to the Securities Exchange Act of 1934.
