Explanatory Note
This Amendment No. 1 to the Current Report on Form 8-K/A amends the Current Report on Form 8-K filed by Endurance Specialty Holdings Ltd. (the “Company”) on February 14, 2006 (the “Original Form 8-K”) to clarify information included on page 11 of Exhibit 99.1 to the Original Form 8-K.
Item 7.01. Regulation FD Disclosure.
The information about the Company described in the slides attached as Exhibit 99.1 to the Original Form 8-K was presented in its original form by the Chief Executive Officer of Endurance Specialty Holdings Ltd. (the “Company”) (i) to various investors on February 14, 2006 and (ii) at the Merrill Lynch Insurance Investor Conference held on February 14, 2006. Officers of the Company will be subsequently presenting the information about the Company as modified in the slides attached to this report as Exhibit 99.1. The slides set forth in Exhibit 99.1 are incorporated by reference herein. The information in Item 7.01 of this report is being furnished, not filed, pursuant to Regulation FD. Accordingly, the information in Item 7.01 of this report will not be incorporated by reference into any registration statement filed by the Company under the Securities Act of 1933, as amended, unless specifically identified therein as being incorporated therein by reference.
