1. Subsequent to the death of the reporting person's mother, these shares were placed in a living trust as to which the reporting person is the sole trustee with power of appointment.

2. The total direct ownership of 86,473 shares includes 1,000 share restricted stock award of January 9, 2017 with 500 shares vesting on January 9, 2018 and 500 shares vesting on January 9, 2019; and 10,571 shares in the William E. Thomas, Inc. Profit Sharing Plan.
