Explanation of Responses:

1. Each Restricted Stock Unit represents a contingent right to receive one share of common stock upon vesting without consideration.

2. This restricted stock unit vests in its entirety on the first anniversary of the date of grant. Once vested, (i) 50% of the shares subject to this restricted stock unit are immediately issuable upon vesting and (ii) 50% of the shares subject to this restricted stock unit shall be issuable upon the termination of the reporting person's service on the Board of Directors.

Remarks:

This filing reflects the issuance of 50% of the shares issuable under a restricted stock unit granted on April 29, 2015. The remaining 50% of the shares issuable under such restricted stock unit will be issued upon the termination of the reporting person's service on the Board of Directors.
