Explanation of Responses:

1. Each Restricted Stock Unit ("RSU") represents a contingent right to receive one share of the Issuer's Common Stock.

2. The RSUs vested in a single installment on June 17, 2020, the date of the Issuer's annual meeting of stockholders, subject to the Reporting Person's continued service on the Issuer's Board of Directors.

3. The shares subject to this option shall vest and become exercisable in equal monthly installments over a period of 12 months following June 17, 2020 for 11 months and the remaining 1/12th on the earlier of (i) June 17, 2021 or (ii) the Issuer's next annual meeting of stockholders, in each case subject to the Reporting Person's continued service on the Issuer's Board of Directors. This option is subject to full acceleration of vesting with respect to all then-unvested shares upon the consummation of a Sale Event (as defined in the Issuer's 2015 Stock Option and Incentive Plan, as amended).

4. The shares of Common Stock underlying the RSUs vest in a single installment on the earlier of (i) June 17, 2021 or (ii) the Issuer's next annual meeting of stockholders, in each case subject to the Reporting Person's continued service on the Issuer's Board of Directors. The shares of Common Stock underlying the RSUs are subject to full acceleration of vesting with respect to all then-unvested shares upon the consummation of a Sale Event (as defined in the Issuer's 2015 Stock Option and Incentive Plan, as amended).
