Explanation of Responses:

1. Represents a Restricted Stock Unit (RSU) award granted under the Plantronics, Inc. 2003 Stock Plan. One-third of the total number of RSUs granted will vest annually over 3 years on the anniversary of the grant date, subject to continued employment.

2. Represents shares withheld by Plantronics, Inc. to satisfy tax withholding obligations that arose upon the vesting of the RSUs.

3. Represents the vesting of performance-based Restricted Stock Unit awards (PSUs).

4. Represents shares withheld by Plantronics, Inc. to satisfy tax withholding obligations that arose upon the vesting of the PSUs.
