Explanation of Responses:

1. This amount includes (i) 3,571 shares of the Issuer's common stock ("Common Stock") and (ii) 1,887 restricted stock units ("RSUs"). Each RSU represents a contingent right to receive one share of the Issuer's Common Stock. The RSUs will vest and become payable 100% as of the last business day preceding the date of the Issuer's next scheduled annual meeting of stockholders.
