Explanation of Responses:

1. The Restricted Stock Units ("RSUs") were awarded to the reporting person pursuant to the Stabilis Energy, Inc. 2019 Long Term Incentive Plan (the "LTIP") and vested immediately.

2. Each RSU represents the right to receive upon vesting, one share of Stabilis Energy, Inc. Common Stock.

3. The RSUs were awarded to the reporting person pursuant to the LTIP and vest one year from the grant date, subject to the terms and conditions of the award agreement.

4. Unless earlier forfeited under the terms and conditions of the award agreement, the RSUs expire immediately following vesting.
