1. This transaction represents the settlement of restricted stock units ("RSUs") previously reported which vested on 06/05/2018. Each RSU represented a contingent right to receive one share of the Issuer's common stock.

2. 88,792 of the Issuer's common stock previously reported as indirectly owned by the Reporting Person's GRAT are now directly owned by the Reporting Person as of 09/25/2017.
